{"id":2451874,"date":"2019-12-05T00:00:00","date_gmt":"2019-12-05T07:00:00","guid":{"rendered":"https:\/\/www.aspentimes.com\/?p=317126"},"modified":"2019-12-05T00:00:00","modified_gmt":"2019-12-05T07:00:00","slug":"judge-approves-receiver-in-aspen-mountain-lodge-dispute","status":"publish","type":"post","link":"https:\/\/alwaysmountaintime.com\/kspn\/local-news\/judge-approves-receiver-in-aspen-mountain-lodge-dispute\/","title":{"rendered":"Judge approves receiver in Aspen Mountain Lodge dispute"},"content":{"rendered":"<figure class=\"wp-block-image p402_hide\">\n<div class=\"caption-container\"> <img loading=\"lazy\" decoding=\"async\" width=\"620\" height=\"413\" src=\"https:\/\/cdn.aspentimes.com\/wp-content\/uploads\/sites\/5\/2019\/12\/amldispute-atd-101619.jpg\" class=\"attachment-large size-large wp-post-image\" alt srcset=\"https:\/\/cdn.aspentimes.com\/wp-content\/uploads\/sites\/5\/2019\/12\/amldispute-atd-101619.jpg 620w, https:\/\/cdn.aspentimes.com\/wp-content\/uploads\/sites\/5\/2019\/12\/amldispute-atd-101619-300x200.jpg 300w\" sizes=\"auto, (max-width: 620px) 100vw, 620px\"><\/div>\n<\/figure>\n<p class=\"STND-STND BodyText\">A judge ruled Wednesday in favor of a proposed receiver to supervise financial transactions of Aspen Mountain Lodge until the court sorts out a legal dispute over control of the condo-hotel\u2019s board of directors.<\/p>\n<p class=\"STND-STND BodyText\">Judge Anne Norrdin issued her oral ruling during a morning conference call with the involved parties, following a seven-hour hearing Tuesday in Garfield County District Court.<\/p>\n<p class=\"STND-STND BodyText\">\u201cThe hearing yesterday made clear to me that there is a pretty unique set of circumstances,\u201d the judge said, previously noting her job is to find \u201cthe most equitable remedy while the larger issues are resolved.\u201d<\/p>\n<p class=\"STND-STND BodyText\">The receiver, Aspen property manager Ron Erickson, will be charged with managing the Alpine Bank accounts. Prior to the legal flare-up at hand, those funds were under the control of the condo association president and Aspen Hotel Management, which runs the West Main Street lodge.<\/p>\n<p class=\"STND-STND BodyText\">Alpine Bank froze the accounts \u2014 which amount to more than $250,000, as well as a $200,000 line of credit \u2014 in September. The bank said it took its action because of a disagreement over control of the association\u2019s board of directors and its money, which is used to handle the lodge\u2019s operations.<\/p>\n<p class=\"STND-STND BodyText\">\u201cThe bank is an innocent bystander that has unfortunately been part of these proceedings for the better part of three months,\u201d Alpine Bank attorney Chris Bryan said at Tuesday\u2019s hearing.<\/p>\n<p class=\"STND-STND BodyText\">On Sept. 19,<a id=\"N0x2caaf00N0x2de8140:N0x2caaf00N0x2cec450\" href=\"https:\/\/www.aspentimes.com\/news\/power-struggle-at-aspen-mountain-lodge\/\"> Bryan filed <\/a>what\u2019s called a \u201ccomplaint in interpleader\u201d with the goal of having a judge determine who could access the disputed funds. Subsequently the money was placed in the <a id=\"N0x2caaf00N0x2de81a0:N0x2caaf00N0x2cec4e0\" href=\"https:\/\/www.aspentimes.com\/news\/local\/aspen-mountain-lodge-fight-over-hoa-board-money-goes-to-district-court\/\">custody of the court registry<\/a>, with attorneys for the unit owners in dispute having to approve each transaction before it was completed. Each transaction has \u201ccaused a minor fire drill\u201d due to multiple parties involved in their approval, Bryan said.<\/p>\n<p class=\"STND-STND BodyText\">Those transactions have included checks cut to lodge employees and vendors, Bryan said.<\/p>\n<p class=\"STND-STND BodyText\">\u201cThis is not a tenable situation,\u201d he said. \u201cIt\u2019s bad for the bank and bad for the association; and, I would posit, it\u2019s worse for the third-party vendors.\u201d<\/p>\n<p class=\"STND-STND BodyText\">With a receiver now in the picture, Alpine Bank can remove itself from the dispute.<\/p>\n<p class=\"STND-STND BodyText\">In the meantime, the court\u2019s next step will be figuring out who has control of the board of the directors for The Aspen Homeowners\u2019 Association, which is run by the lodge\u2019s unit owners.<\/p>\n<p class=\"STND-STND BodyText\">Pitted in the dispute is the so-called old board against the new board.<\/p>\n<p class=\"STND-STND BodyText\">Brothers Aaron and Michael Brown, who run two other inns in town and have approvals to build Lift One Lodge on the western portal of Aspen Mountain, claim they are the board\u2019s respective vice president and president. Their attorney, Aspen lawyer Maria Morrow, argued as much Tuesday. She said their board status should not be in dispute because the voting results were clear at the board\u2019s annual election held May 31.<\/p>\n<p class=\"STND-STND BodyText\">That was when the Browns took control of the board by voting on behalf of an LLC that Michael Brown had controlled at the time \u2014 Mountain Lodge Holdings. Twenty of the lodge\u2019s 38 units were under the ownership of Mountain Lodge Holdings, and Michael Brown argued he was entitled to cast votes on the LLC\u2019s behalf to elect both him and his brother, according to court pleadings. Also elected to the board as treasurer was William Sheehan, who previously had been the board\u2019s president.<\/p>\n<p class=\"STND-STND BodyText\">Through the law firm Balcomb &amp; Green PC, Sheehan and the two previous officeholders have disputed those election results, claiming the LLC could only vote one person into office under the condo association\u2019s bylaws.<\/p>\n<p class=\"STND-STND BodyText\">Attorney Lucas Van Arsdale, on behalf of the old board, argued multiple times Tuesday the Browns\u2019 election amounted to a \u201chostile takeover.\u201d<\/p>\n<p class=\"STND-STND BodyText\">\u201cIt\u2019s unfortunate that Mr. Brown did not succeed in his hostile takeover in compliance with the law, but the fact is he did not,\u201d Van Arsdale said.<\/p>\n<p class=\"STND-STND BodyText\">He noted, also several times, that because neither Brown attended the hearing, they could not demonstrate they were qualified to handle the money in dispute.<\/p>\n<p class=\"STND-STND BodyText\">\u201cThe Brown brothers have not put any evidence that they are qualified to manage the association\u2019s funds,\u201d he said. \u201cIn fact, they\u2019re not even here today.\u201d<\/p>\n<p class=\"STND-STND BodyText\">Morrow countered because the election results were validated June 1, they were a done deal.<\/p>\n<p class=\"STND-STND BodyText\">\u201cIt\u2019s not rigging; it\u2019s just plain math,\u201d she said. \u201cTwenty out of 38 is a majority.\u201d<\/p>\n<p class=\"STND-STND BodyText\">The Browns elected themselves out of concerns over the lodge\u2019s financial health, Morrow said, citing a capital reserves study in 2013 showing the association had no backup funds.<\/p>\n<p class=\"STND-STND BodyText\">Yet Sheehan, over the course of his three-hour testimony, said the association regrouped financially through special assessments to the unit owners.<\/p>\n<p class=\"STND-STND BodyText\">The receiver issue also had both sides at odds.<\/p>\n<p class=\"STND-STND BodyText\">The Browns contested it, while Van Arsdale\u2019s clients had advocated for one through a court motion.<\/p>\n<p class=\"STND-STND BodyText\">Morrow argued Michael Brown should be given signor-status on the accounts, and also suggested transferring the money to another financial institution so Alpine Bank would no longer be involved.
